1. Definitions
Terms and definitions used in this Section of the Agreement “Freight forwarding services for organizing the international transportation” (“Section of the Agreement”) with a capital letter and not defined in the Section of the Agreement shall be interpreted in accordance with the Agreement with Logistics Partners - Standard Terms and Conditions.
2. Subject
2.1. In accordance with the terms of this Section, Logistics Partner undertakes to provide Ozon with freight forwarding services for organizing the international transportation of Shipments in the manner set forth in Logistics Partners Regulations (when providing freight forwarding services for organizing the international transportation).
2.2. The activity of Logistics Partner is carried out at the expense of Logistics Partner itself, the risks arising in connection with the organization of the international transportation of Shipments are assumed by Logistics Partner.
2.3. The quality of the freight forwarding services provided by Logistics Partner for the international transportation of Shipments must meet the requirements of the national standards of the Russian Federation and the countries of the Shipments, regulatory legal acts in the field of freight forwarding activities, as well as the conditions of this Section.
Section Application
2.4. The provisions of the Agreement shall apply to the extent not inconsistent with this Section. In the event of a conflict between this Section and the provisions of the Agreement, this Section shall prevail.
3. Procedure for Providing Freight Forwarding Services
3.1. The procedure for the provision by Logistics Partner of freight forwarding services for organizing the international transportation of Shipments is established in the Logistics Partners Regulations (when providing freight forwarding services for organizing the international transportation).
3.2. Logistics Partner undertakes to immediately transfer to Ozon via API information about the fact of delivery to the Client of each Shipment (delivered Shipment), including the actual weight characteristics of the Shipment. Based on the Ozon internal system, the Status “Delivered” is assigned to the Shipment in 5 (five) minutes after the Status “Conditionally Delivered” was assigned.
3.3. Logistics Partner has the right to involve third parties in the performance of its obligations under the Agreement and is liable for the improper performance of their obligations by them. If a third party engaged by Logistics Partner is integrated into the Ozon system, the statuses of performance of freight forwarding services transferred under the Agreement may be obtained by Ozon directly from such third party. Receiving statuses from such third parties is equivalent to receiving statuses directly from the Logistics Partner.
3.4. The obligation for Logistics Partner to perform freight forwarding services for organizing international transportation is considered fulfilled on the date when the Shipment is considered delivered based on the Status “Delivered” or the Status “Returned through warehouse” (as defined in clause 1 of this Section).
4. Remuneration, Reporting Documents and Payment
4.1. The cost of freight forwarding services
The cost of freight forwarding services within the framework of this Section (Rates of Logistics Partner) is specified in the Partner Delivery Section.
To determine the cost of freight forwarding services, the rates in effect at the time of the Client’s Order are applied.
To determine the delivery method, the price of goods in the Shipment indicated via the API (the “sellerPriceSumValue” and “sellerPriceSumCurrency” fields) is used.
4.2. Reporting period
The reporting period is a calendar month.
4.3. Sending reporting documents to Ozon
4.3.1. No later than the 1st (first) day of the month following the reporting month, Ozon sends the list of delivered Shipments to Logistics Partner (based on the Status “Delivered” and the Status “Returned through warehouse”). No later than the 3rd (third) day of the month following the reporting month, Logistics Partner, according to the list of delivered Shipments received from Ozon (based on the Status “Delivered” and the Status “Returned through warehouse”) undertakes to provide Ozon with the Certificate of services rendered, as well as a transcript of the Certificate. Ozon undertakes to approve and send the Certificate signed on its part or send reasoned objections within 3 (three) business days from the date of its receipt.
4.3.2. Documents confirming the provision of freight forwarding services in a form acceptable in accordance with the norms of the current legislation of the Russian Federation are attached to the Certificate.
Act of reconciliation
4.3.3. At the end of each calendar quarter, no later than the 25th (twenty-fifth) day of the month following that quarter, Ozon sends Logistics Partner an Act of reconciliation for the calendar quarter. Logistics Partner, within 2 (two) business days after sending the Act of reconciliation to Ozon, undertakes to approve it or send motivated objections by sending its version of the Act of reconciliation. In any case, the Parties undertake to agree on the Act of reconciliation within 5 (five) business days from the date of sending the Act of reconciliation.
4.4. Carry over forward to the next reporting period
For the purposes of making settlements under this Section, the Parties have agreed that the reporting documents should reflect the Shipments delivered to the Client during the reporting period (from the first to the last day of the calendar month) based on the Status “Delivered” or the Status “Returned through warehouse” according to the Ozon internal system. Shipments with the assigned Status “Conditionally delivered”, but not delivered based on the Status “Delivered” according to the Ozon internal system for the reporting period, are subject to accounting and reflection in the reporting documents in the next reporting period (calendar month).
4.5. The cost of freight forwarding services shall exclude the VAT and the tax on income withheld at the source of payment under the laws of the Russian Federation. If, in accordance with the legislation of the Russian Federation, Ozon is obliged to withhold or Logistics Partner is obliged to pay any taxes and / or levies imposed on Logistics Partner as the payee, including, but not limited to, VAT, tax on income withheld at the source of payment, as well as other similar taxes that may be established instead of existing or in addition to them, then the amount payable to Logistics Partner will be paid after withholding or payment of such tax or levy by Ozon. In this case, the cost of freight forwarding services must increase by the amount of applicable taxes so that after they are withheld, the amount of payment to Logistics Partner will be equal to the amount that would have been due if the withholding had not been required. At the same time, Logistics Partner undertakes to provide Ozon with a certificate of the established form confirming the tax residency of Logistics Partner as well as with a written confirmation of the actual right to receive the income with the purpose to apply an exemption or a reduced rate of tax on income as envisaged by international treaties. In case Logistics Partner fails to provide the above mentioned documents, Ozon has the right to withhold the tax on income withheld at the source of payment at the generally established rates, while the cost of freight forwarding services does not additionally increase, and in part of the rate exceeding that which would have been applied if the specified documents were provided, the withholding is made at the expense of Logistics Partner.
5. Quality Indicators of Service Performance by Logistics Partner
5.1. Ozon has the right to establish quality indicators for the performance of services by Logistics Partner, including those indicated in the table below, as well as other indicators, and their critical level. Ozon has the right to change indicators and their target indicator or critical level unilaterally, notifying Logistics Partner about these indicators.
5.2. If the quality indicators of services by Logistics Partner deteriorate to a critical level or if the target quality indicator is not achieved, Ozon has the right to suspend the performance of obligations under the Agreement or terminate the Agreement.

For calculation purposes, the share of all Shipments delivered during the reporting period from the total number of Shipments was taken (except for those canceled not at the initiative/fault of Logistics Partner).
